1. Eligibility and authority
You must be legally able to enter this agreement and authorized to act for the business using the account. Valmere Suites is intended for business use and is not directed to children.
2. Accounts and security
You must provide accurate information, protect login credentials, and manage access granted to managers, crew, and other authorized users. The business account owner controls the workspace and is responsible for activity performed through authorized access.
3. The service
Valmere Suites provides business-management tools including customer and location records, scheduling, recurring work, quotes, invoices, crew coordination, time tracking, expenses, field documentation, reporting, and related workflows. Features vary by plan.
4. Plans, billing, and automatic renewal
Paid subscriptions are billed in advance monthly or annually through our payment processor and renew automatically for the same billing interval until canceled. Before purchase or a paid plan change, Valmere will display the applicable plan, billing frequency, price, and amount due. Taxes may apply where required.
5. Upgrades, downgrades, and billing changes
Upgrades generally take effect immediately and may be prorated. Downgrades generally take effect at the next renewal. Changes between monthly and annual billing generally take effect at renewal unless Valmere clearly states otherwise before confirmation. Downgrading changes feature access but does not automatically delete historical business records. Features unavailable on the new plan may be disabled or paused while retained where supported.
6. Cancellation
Canceling stops future renewal. Access continues through the already-paid subscription period unless access is restricted for another permitted reason. Fees already paid are generally nonrefundable and unused time is not automatically prorated. A scheduled cancellation may be reversed before the paid period ends.
7. Refunds and billing corrections
Except where required by law, subscription fees are nonrefundable once a billing period begins. Valmere may, in its discretion, issue a refund or credit for duplicate charges, billing errors, significant technical issues, or exceptional circumstances. Nothing in these Terms limits rights that cannot legally be waived.
8. Failed payments and chargebacks
When a renewal payment fails, Valmere may provide a seven-day payment grace period before restricting or suspending subscription features. If payment remains unresolved and the subscription terminates, subscription benefits may end. A chargeback or payment dispute may result in temporary restrictions while the matter is investigated.
9. Founding Member program
The Founding Member offer is limited to the first 25 eligible businesses that successfully activate a qualifying paid subscription, or through December 31, 2026, whichever comes first. Joining an interest list does not reserve a Founding position. Founding positions are historical and are not reopened when a Founding Member later cancels.
Eligible Founding Members on Solo, Team, and Pro receive $20 off the standard monthly price, with corresponding discounted annual pricing. Founding pricing follows eligible upgrades, downgrades, and billing-frequency changes while the paid subscription remains active. Scheduling cancellation does not immediately remove Founding status. If cancellation is reversed before the paid subscription terminates, Founding status remains. Once the subscription fully terminates, the Founding pricing benefit ends and is not automatically restored on later reactivation. Founding status is nontransferable to an unrelated business unless Valmere expressly approves otherwise. See the Founding Member Terms for details.
10. Referral programs and promotions
Valmere may offer referral programs or promotions with additional eligibility and reward terms presented with the offer. Rewards may be withheld or reversed for refunded, disputed, fraudulent, or otherwise ineligible transactions.
11. Plan limits
Solo is intended for an owner-operator and does not include crew accounts. Team supports up to 10 active crew members. Pro supports unlimited active crew members, subject to reasonable technical and anti-abuse limits. Plan restrictions are separate from user permissions.
12. Business data ownership
Your business retains ownership of customer records, job information, photos, receipts, documents, notes, files, and other content it submits to Valmere. You grant Valmere a limited license to host, store, process, transmit, display, back up, secure, maintain, and otherwise use that content only as reasonably necessary to provide, protect, support, and improve the service.
13. Your content and responsibilities
You are responsible for having the rights, notices, permissions, and lawful basis needed to collect, upload, use, and communicate with customers or employees through Valmere. You are responsible for the accuracy of your business records and for retaining records where law or your business requires independent retention.
14. Communications
Valmere may send transactional or service communications necessary to operate an account, including receipts, payment failures, cancellation, security, deletion, and important account notices. Optional marketing communications may be unsubscribed from as provided in those messages. Businesses using Valmere communication tools are responsible for applicable consent, opt-out, and messaging requirements for their own recipients.
15. Payments and customer transactions
Businesses may connect their own Stripe account to accept customer payments through Valmere invoice links. When a connected business accepts an online customer payment, the connected business is the merchant of record and the transaction is processed directly through that business's Stripe account. Valmere does not hold the business's customer-payment proceeds and does not store full payment card numbers. The business remains responsible for its prices, taxes, refunds, services, disputes, chargebacks, and compliance obligations. Stripe's separate terms, verification requirements, processing fees, payout rules, and privacy practices apply to connected accounts and payment transactions.
16. Acceptable use
You may not use Valmere for unlawful activity, fraud, impersonation, harassment, unauthorized access, misuse of personal information, malicious software, interference with the service, circumvention of access controls, or unlawful, deceptive, or unsolicited communications. We may investigate suspected misuse and may restrict, suspend, or terminate access when reasonably necessary.
17. Uploaded photos and files
You are responsible for obtaining any permission required to upload property photos, documents, receipts, or other files. Uploaded content remains subject to these Terms and may be removed where necessary to comply with law, protect the service, or address prohibited use.
18. Availability and maintenance
We work to provide reliable service but do not promise uninterrupted or error-free availability and do not offer a specific uptime service-level agreement unless separately agreed in writing. Maintenance, internet failures, hosting or payment-provider outages, security events, and circumstances outside reasonable control may affect availability. Planned maintenance notice may be provided when practical, while emergency work may occur without advance notice.
19. Backups, recovery, and exports
Valmere may maintain backups and recovery processes for service continuity, but backups are not a substitute for records a business is legally or operationally required to retain. Available export tools are separate from platform backups. We do not promise restoration of every accidentally deleted item unless a restoration feature expressly supports it.
20. Third-party services
Valmere may rely on payment processors, hosting providers, email services, app distribution platforms, and other providers. Their services may be subject to separate terms, and Valmere is not responsible for outages or acts outside our reasonable control.
21. Support and Priority Support
Support is available on all paid plans. Pro Priority Support means prioritized handling when practical and does not create a guaranteed response or resolution time unless a separate written service-level agreement says otherwise. We may request reasonable troubleshooting information. Feature requests and feedback do not guarantee implementation.
22. Product changes
We may add, modify, replace, or discontinue features as Valmere develops. We will provide notice where required by law or where a material change to a paid service reasonably calls for notice.
23. Payroll preparation, accounting, tax, legal, and professional limitations
Valmere may provide payroll-preparation tools that organize time entries, pay rates, gross-pay estimates, reimbursements, review status, and exports for use with a payroll provider or accountant. Valmere does not currently process payroll, calculate or withhold payroll taxes, file payroll tax returns, issue tax forms, debit payroll funds, or pay employees. Valmere is not an accountant, tax adviser, attorney, insurer, or employer of record. Reports and calculations are operational tools and are not professional advice or official filings.
24. Not for critical or emergency systems
Valmere is not designed for emergency dispatch, public safety, medical, life-safety, or other systems where interruption or error could cause serious harm. Do not rely on Valmere as the sole means of handling emergencies.
25. Suspension, termination, retention, and deletion
We may suspend or terminate access for material Terms violations, fraud, security risk, unlawful conduct, unresolved nonpayment, or other circumstances permitted by law. Cancellation and account deletion are separate actions. After a subscription fully terminates, Valmere may provide limited account access for up to 30 days for permitted export or reactivation functions. An owner may separately request permanent account deletion. A deletion request uses a waiting period of at least 30 days and may be scheduled later when necessary to honor an already-paid service period. Some limited records may be retained where required for legal, security, fraud-prevention, dispute, backup, or compliance purposes.
26. Intellectual property and feedback
Valmere Suites, its software, branding, design, and documentation are protected by applicable intellectual-property laws. A subscription provides a limited, nonexclusive, nontransferable right to use the service during authorized access. If you voluntarily provide ideas or feedback, Valmere may use them to improve the service without creating an obligation to implement or compensate for them.
27. Disclaimers, liability, and indemnification
To the maximum extent permitted by law, Valmere is provided on an “as is” and “as available” basis without warranties that cannot otherwise be disclaimed. To the maximum extent permitted by law, Valmere will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or business opportunities arising from use of the service. Except where law requires otherwise, aggregate liability for claims relating to the service will not exceed amounts paid to Valmere during the 12 months before the event giving rise to the claim. You agree to indemnify Valmere from third-party claims arising from your unlawful use, your content, or your violation of these Terms, to the extent permitted by law.
28. Governing law, changes, and contact
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules, except where applicable law requires otherwise. Disputes not otherwise resolved will be brought in a court of competent jurisdiction in South Carolina unless applicable law requires another forum. Valmere Suites is a product of Eevee Kai Creations, LLC. We may update these Terms and will provide notice of material changes when required or reasonably appropriate. Questions may be sent to support@valmeresuites.com.
